President Update: SGM and Minutes
Dear Members,
As per a Notice received on 24.03.21, signed by 34 members, a Notice for a Special General Meeting was called 01.04.21 for the 13th of June 2021. The SGM was conducted at 1000 on Sunday the 13 of June.
As per the Notice from members, this meeting was called to consider two items. Below are the items that were put to the meeting for consideration and the result of the voting of members:
a. Consider the appropriateness of the actions of the Board of the Association in making a demand that Cairns RSL Club Limited ACN 050 489 720 pay the sum of $2,123,350.00 to the Association on or before 14 April 2021;
After due consideration, the members who attended the SGM voted that your Board of the Cairns RSL Sub-Branch acted appropriately in making the demand in section (a.) above.
b. Consider and if so resolved:
i. The removal of all directors of the Association pursuant to clause 27.3(a) of its Constitution;
After due consideration, the members who attended the SGM voted that your current Board of Directors of the Cairns RSL Sub-Branch should not be removed.
ii. Contemporaneously with the removal of all directors of the Association, the appointment of replacement directors, pursuant to and in accordance with Rule 26 of the Constitution for the Association.
Point (ii.), above, was not considered due to the result of point (i.)
